WHAT THIS IS: This expresses Clickable Software's ("Clickable") Limited Use Source Code License Agreement (the "Agreement"), which governs your use of the Clickable products (the "Source Code") contained herein. YOU AGREE TO THE TERMS OF THIS AGREEMENT BY THE ACT OF OPENING THE PACKAGE THAT CONTAINS THE MAGNETIC MEDIUM ON WHICH THE SOURCE CODE IS RECORDED OR BY DOWNLOADING THE SOURCE CODE FILES FROM A BBS OR THE INTERNET. DO NOT OPEN THE PACKAGE OR DOWNLOAD THE PRODUCT WITHOUT FIRST READING, UNDERSTANDING, AND AGREEING TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU MAY RETURN THE SOURCE CODE FOR A FULL REFUND BEFORE OPENING THE SEALED PACKAGE. 2. GRANT OF LICENSE. Clickable hereby grants you, and you accept, a limited license to use the SOURCE CODE, user manual, and any related materials, covered in this Agreement). This SOURCE CODE is considered to be a single site license, to be used on a single computer, or temporary replacement therefor, and only for a single web site as differentiated by a unique URL or Domain Name. If you wish to use the SOURCE CODE on more than one web site (URL), you must either license an additional copy of the SOURCE CODE or request a multi-site license from Clickable Software. You may not transfer or sublicense, either temporarily or permanently, your rights to use the SOURCE CODE under this Agreement without the prior written consent of Clickable Software. 3. TERM: This Agreement is effective from the day that you open the package or download the SOURCE CODE and continues until you return the SOURCE CODE to Clickable. You must also certify in writing that you have destroyed any archival copies you may have recorded on any memory system or magnetic medium. 4. CLICKABLE SOFTWARE'S RIGHTS: You acknowledge that the SOURCE CODE is the sole and exclusive property of Clickable. By accepting this Agreement, you do not become the owner of the SOURCE CODE, but you do have the right to use the SOURCE CODE in accordance with this Agreement. You agree to use your best efforts and all reasonable steps to protect the SOURCE CODE from unauthorized use, illegal reproduction, and illicit distribution. 5. YOUR ORIGINAL DISK/ARCHIVAL COPIES: The magnetic disk on which the SOURCE CODE is recorded or the SOURCE CODE that is downloaded from a BBS or the INTERNET is a serialized product. Other than backup copies, you agree that no other copies of the SOURCE CODE will be made. 6. CUSTOMER REGISTRATION: Clickable Software may from time to time revise or update the SOURCE CODE. Revisions can only be provided to you if you have Registered with Clickable Software. If you have downloaded the software from a BBS or the INTERNET, you will have registered as a requirement of that process. If you have purchased this software on a magnetic medium, you must return the Registration Card to Clickable Software. 7. LIMITED WARRANTY: Clickable warrants for a period of ninety (90) days from the effective date of this Agreement that, under normal use, the SOURCE CODE and the User Manual will not prove defective, that the program is properly recorded on the disk, a BBS, or the INTERNET, and that the user manual is substantially complete and contains all the information that Clickable deems necessary for the use of the program. If during the ninety-day period, a defect in the SOURCE CODE should appear, you may return the SOURCE CODE to Clickable for replacement without charge. Your sole right, with respect to a defect in the SOURCE CODE, is replacement of the Software. ANY MODIFICATIONS, CHANGES, OR ALTERATIONS OF THE SOURCE CODE OTHER THAN THOSE REQUIRED TO OPERATE AND EXECUTE THE SCRIPTS WILL CAUSE ANY WARRANTIES TO BE NULL AND VOID. EXCEPT FOR THE LIMITED WARRANTY DESCRIBED IN THIS PARAGRAPH, THERE ARE NO WARRANTIES, EITHER EXPRESSED OR IMPLIED, BY THIS AGREEMENT. THESE INCLUDE, BUT ARE NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ALL SUCH WARRANTIES ARE EXPRESSLY DISCLAIMED. 8. LIABILITY: You agree that regardless of the form of any claim you may have, Clickable's liability for any damages to you or to any other party shall not exceed ten times the license fee paid for the SOURCE CODE. CLICKABLE WILL NOT BE RESPONSIBLE FOR ANY DIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES SUCH AS, BUT NOT LIMITED TO, LOSS OF PROFITS RESULTING FROM THE USE OF THE SOURCE CODE OR ARISING OUT OF ANY BREACH OF THE WARRANTY, EVEN IF CLICKABLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. SOME STATES AND/OR COUNTRIES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY BY LOCATION. 9. TERMINATION OF AGREEMENT: If any of the terms and conditions of this Agreement are broken, Clickable has the right to terminate the Agreement and demand that you return the SOURCE CODE to Clickable. At that time, you must also certify in writing that you have not retained any copies of the SOURCE CODE. 10. GOVERNING LAW: This Agreement is to be governed by, and interpreted in accordance with, the laws of the State of California and the United States. Any terms and conditions of this Agreement found to be unenforceable, illegal, or contrary to public policy in any jurisdiction will be deleted, but will not affect the remaining terms and conditions of the Agreement. 11. ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between you and Clickable Software.
